• Services include all software modules, websites, mobile applications, APIs, reports, communication services, support, and other features provided by GrowVidya.

2. Acceptance of Terms

By registering, subscribing, accessing, or using GrowVidya, you acknowledge that you have read, understood, and agreed to these Terms & Conditions, along with our Privacy Policy.

3. Eligibility

Users must be authorized by their educational institution to access the platform. Institutions are responsible for ensuring that all users have the necessary authority and permissions.

4. User Accounts

The Institution is responsible for:

• Maintaining accurate account information.
• Protecting login credentials.
• Restricting unauthorized access.
• Immediately notifying GrowVidya of any security breach.

Users are solely responsible for all activities performed using their accounts.

5. Use of Services

GrowVidya grants Institutions a limited, non-transferable, non-exclusive license to use the platform for educational and administrative purposes only.

Users agree not to:

• Reverse engineer, copy, modify, or distribute the software.
• Attempt unauthorized access to servers or databases.
• Upload malicious software, viruses, or harmful code.
• Use the platform for unlawful or fraudulent activities.
• Share login credentials with unauthorized individuals.

6. Subscription and Payment

• Services are provided according to the selected subscription plan.
• Subscription fees must be paid as per the agreed payment schedule.
• Delayed payments may result in suspension or termination of services.
• All fees are non-refundable unless otherwise agreed in writing.
• Taxes, including GST, shall be applicable as per prevailing laws.

7. Data Ownership

All academic, administrative, financial, student, employee, and institutional data uploaded to GrowVidya remains the sole property of the Institution.

GrowVidya shall not claim ownership of customer data.

8. Data Security

GrowVidya employs industry-standard security practices to safeguard institutional data. However, no internet-based service can guarantee absolute security.

Institutions are responsible for:

• Maintaining secure passwords.
• Managing authorized users.
• Ensuring proper internal data handling practices.

9. Privacy

Personal information collected through GrowVidya is processed in accordance with our Privacy Policy and applicable data protection laws.

10. System Availability

GrowVidya strives to maintain high system availability. However, services may occasionally be interrupted due to:

• Scheduled maintenance
• Emergency maintenance
• Network failures
• Internet outages
• Third-party service disruptions
• Force majeure events

The Company shall not be liable for temporary service interruptions.

11. Third-Party Integrations

GrowVidya may integrate with third-party services including but not limited to:

• SMS Gateway Providers
• WhatsApp Business API
• Payment Gateways
• Email Service Providers
• Video Conferencing Platforms
• Cloud Storage Services

The Company is not responsible for the availability, performance, pricing, or policies of third-party providers.

12. Intellectual Property

All software, source code, user interfaces, graphics, trademarks, logos, documentation, and content associated with GrowVidya remain the exclusive intellectual property of Codeulas Innovations Private Limited.

No rights are transferred to users except those expressly granted under these Terms.

13. Support Services

Technical support is provided during official business hours under the subscribed support plan.

Support does not include:

• Internet connectivity issues

14. Customer Responsibilities

Institutions agree to:

• Provide accurate information.
• Ensure lawful use of the platform.
• Regularly review reports and records.
• Train authorized users.
• Maintain confidentiality of login credentials.
• Comply with applicable educational and legal regulations.

15. Limitation of Liability

To the maximum extent permitted by law, Codeulas Innovations Private Limited shall not be liable for:

• Loss of profits
• Business interruption
• Data loss caused by customer negligence
• Indirect or consequential damages
• Third-party failures
• Cyberattacks beyond reasonable control

The Company's total liability shall not exceed the subscription fees paid by the Institution during the preceding twelve (12) months.

16. Indemnification

The Institution agrees to indemnify and hold harmless Codeulas Innovations Private Limited, its directors, employees, partners, and affiliates from any claims, damages, liabilities, losses, or expenses arising from:

• Violation of these Terms.
• Misuse of the platform.
• Violation of applicable laws.
• Unauthorized use of user accounts.

17. Suspension and Termination

The Company reserves the right to suspend or terminate access without prior notice if:

• Subscription fees remain unpaid.
• The platform is misused.
• Fraudulent activities are detected.
• Security risks are identified.
• Legal requirements necessitate suspension.

Upon termination, customer access may be revoked, subject to applicable data retention obligations.

18. Data Backup

GrowVidya performs periodic system backups as part of its operational procedures. Institutions are encouraged to maintain their own copies of critical reports and records.

19. Software Updates

The Company may introduce updates, feature enhancements, security patches, or interface improvements without prior notice.

Such updates may temporarily affect system availability.

20. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary, technical, business, and customer information obtained during the course of the service relationship.

21. Force Majeure

The Company shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, pandemics, war, government actions, internet outages, cyber incidents, labor disputes, or power failures.

22. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of India.

Any disputes arising out of these Terms shall be subject to the exclusive jurisdiction of the competent courts having jurisdiction over the registered office of Codeulas Innovations Private Limited.

23. Amendments

The Company reserves the right to modify these Terms & Conditions at any time. Updated versions will become effective upon publication on the GrowVidya website or platform.

Continued use of the services constitutes acceptance of the revised Terms.
